Purchaser/Installation Acknowledgment & General Release
Northwest Seatworks, LLC (NWSW) sources the exclusive French designed Scopema line of replacement seating at the request of private van owner/builders seeking the utility of a convertible seat/bed. By signature below, purchaser on behalf of themselves, family and to the extent allowed by law third party users (“Customers”), acknowledge they have acquainted themselves with the features of the Scopema seats as well as the seating, restraints, airbag and other safety features certified by Mercedes Benz as complying with Federal Motor Vehicle Safety Standards upon delivery of Customer’s Sprinter van chassis. Customers further acknowledge:
Accident Injury Risk. Scopema supplied seats are not tested or certified to FMVSS standards and do not include or may not accommodate use with Mercedes’ supplied safety equipment. DO NOT RECLINE while vehicle is in motion.
Customer purchase and installation according to NWSW guidance is based solely on Customer’s research, informed judgment and intended van conversion design and private use. No part of NWSW services or installation guidance shall be considered a representation or warranty of particular features, qualities or future performance of the Scopema seats Customer chooses to purchase/ install.
It follows for valuable consideration Customer on behalf of herself/himself/and any marital community, fully and generally releases NWSW, their parent or related companies, officers, directors, employees, agents, successors and assigns (the “Released Parties”), assumes all risks and any liabilities (with waiver of subrogation on behalf of any insurers) and agrees to defend, hold harmless and indemnify the Released Parties from any and all claims, suits, damages, fines or other legal actions of any type in any way arising or related to purchase, installation or use of Scopema seats.

This Acknowledgment, General Release & Arbitration agreement is made and shall be construed according to Oregon Law. For valuable separate consideration (including the price negotiated), Customer and Installer have negotiated and agree to binding arbitration (as opposed to suit and any jury determination) of any claim, dispute or consequence in any way arising from or related to Customers’ purchase, installation or use of Scopema seats. Such arbitration shall be according to consumer dispute rules before a qualified neutral of Customer selection from the JAMS® panel in Portland, Oregon. The amount of any damage award or entered judgment shall not exceed 1.5 times the price paid NWSW by Customer. Each party agrees to bear its own costs and fees.
Invalidity of a part of this agreement shall not affect the parties’ intent to be bound by the remaining terms. No employee or agent of NWSW can waive, modify or expand the terms of this agreement.
